The actual management of a Kft. in Hungary is an important part of a robust company structure. The managing director’s place of residence is not decisive by itself, and a Hungarian commercial-register entry alone is not sufficient either. What matters is the overall picture: where are the company’s ongoing and significant business decisions actually made, implemented and documented in a verifiable way?
This is where HUNCONSULT starts. The assessment covers not only incorporation, but also subsequent operations: business model, responsibilities, decision-making paths, workflows and the countries involved. Depending on the complexity, the responsible independent partner lawyers or partner tax advisers are involved. The result is not a standard solution, but a structure that fits the real company.
What does actual management mean for a Kft.?
Under German tax law, management is the centre of the company’s senior business management. In simple terms, this concerns the place where the management decisions essential to ordinary business operations are actually made. These can include approving important agreements, controlling payment flows, making personnel decisions or managing the business on an ongoing commercial basis.
The registered office, a business address, the managing director’s residence and the place of actual management may coincide, but they do not have to. Residence is therefore a possible indication, not automatic proof. The practical reality remains decisive.
Why the answer depends on the business model
A one-person consultancy Kft. operates differently from a trading company with a warehouse, a business with employees or a company within an international group. Sensible workflows and evidence therefore look different in each case.
- For a simple service company, accepting assignments, approving agreements, providing services and making payment decisions are often central.
- For trading or production, the location, movement of goods, purchasing, personnel and operational management carry additional weight.
- For participation or group structures, responsibilities, intra-group services and cross-border decisions need to be separated particularly carefully.
It would therefore be wrong to prescribe a large office or employees for every Kft. What is required is an economically understandable organisation that fits the specific activity.
The managing director’s residence: important, but not decisive alone
A managing director of a Hungarian Kft. does not necessarily have to live in Hungary. If the person lives in Germany, Austria or Switzerland, it should nevertheless be particularly clear and consistently implemented from where the company is managed.
Anyone who permanently makes all important decisions at their home desk, approves agreements from there and controls all business processes from there creates a clear connection with that country. Regular trips to Budapest or a Hungarian company address alone do not change the overall picture. Conversely, residence abroad does not automatically mean that the Kft. is tax-resident there. The actual decision-making and organisational processes are decisive.
Distinguish management, permanent establishment and CFC taxation
Three different topics are often mixed together in discussions. For a robust assessment, they must be considered separately:
- Place of management: this concerns the company’s tax connection based on its actual management.
- Permanent establishment: a fixed place of business or certain activities in another country may create additional taxing rights there without moving the company’s entire tax centre.
- CFC taxation: under certain conditions, this concerns foreign companies, participating taxpayers and specific types of income. For Germany, the low-taxation threshold is generally below 15 percent today; further requirements and exceptions require a separate assessment.
A Hungarian Kft. with active business operations is therefore not automatically a CFC-taxation case. Likewise, a managing director’s residence in Germany does not automatically turn the Kft. into a German company. The correct answer follows from the specific circumstances.
Double-tax treaty: no simple automatic rule
If two countries treat a company as resident under their respective domestic law, the situation must be assessed under the applicable double-tax treaty and its current version. In the Germany–Hungary relationship, the changes made by the multilateral BEPS instrument must also be considered. Possible dual residence therefore cannot be resolved reliably with the statement “Hungary always has the taxing right”.
The aim should be to avoid contradictory points of connection during planning wherever possible. Clear responsibilities, coherent workflows and ongoing documentation provide a much stronger basis than explanations prepared afterwards.
Evidence that can be useful in practice
There is no universal evidence list that applies equally to every Kft. Useful documentation reflects the company’s actual operations. Depending on the business model, this may include:
- clearly defined decision-making and signing powers,
- managing-director resolutions and meeting minutes,
- agreements, offers and approval processes,
- documents concerning office space, warehouses, equipment or personnel where actually required,
- travel and appointment records for cross-border management,
- transparent commercial and banking processes.
The quantity of documents is not what proves the point; their consistency with reality does. Minutes created afterwards cannot replace an organisation that is actually lived in practice.
Can a Kft. be managed effectively without residence in Hungary?
Yes. Which solution is suitable depends on the activity, customers, workplaces and responsibilities. Possibilities include management exercised by the shareholder in Hungary, genuine management on site or cross-border processes with clearly separated responsibilities. A nominal managing director without genuine decision-making authority is not a robust solution.
HUNCONSULT first assesses the practical starting position: who decides what? Where are services provided? Which people, rooms or systems does the company actually need? Only then are the appropriate components coordinated.

How HUNCONSULT coordinates implementation
HUNCONSULT does not sell an isolated commercial-register entry. Norbert Péter has incorporated hundreds of companies and knows the practical consequences of decisions that look good on paper but do not work in everyday business. Support therefore starts with the actual project, not with a prefabricated tax promise.
Simple incorporations require different processes from company groups, foreign participations or a parent company. Where an individual tax or legal assessment is required, HUNCONSULT brings in suitable tax advisers, accountants or lawyers. HUNCONSULT does not provide tax or legal advice itself, but ensures that the right questions are raised at the right time and that the participants act in coordination.
Frequently asked questions about actual management
Does the managing director’s residence decide the Kft.’s tax residence?
No, not on its own. Residence can be an important indication. The overall picture of actual management and ongoing business decisions is decisive.
Does every Hungarian Kft. need its own employees and a large office?
No. The organisation must fit the real activity. A trading or production business typically needs different resources from a small consultancy. A mere mailbox address, however, does not replace an understandable business organisation.
Can a Kft. have connections with both Hungary and Germany?
Yes. Residence, possible permanent establishments and the allocation of income then need to be assessed separately. The double-tax treaty is intended to prevent double taxation, but it does not replace sound structuring.
Is it enough to sign important resolutions in Hungary?
A signature or a single meeting is only one part of the overall picture. What matters is where and by whom the ongoing significant management decisions are actually made.
Is a Hungarian Kft. automatically a tax-saving model?
No. It is a regular Hungarian limited liability company. Its tax treatment depends on the activity, management, participants and cross-border relationships. Hungary’s attractive corporate tax rate is only one part of the overall assessment.
Conclusion: think about operations first, then build the structure
A Kft. can be an excellent solution for German-speaking entrepreneurs. What matters is that incorporation, actual activity and management fit together. The managing director’s residence is important, but it is not the only answer.
HUNCONSULT develops the practical structure from the business model and coordinates implementation in Hungary. For cross-border questions, the responsible independent partner lawyers or partner tax advisers assess the individual case. This turns a formal incorporation into an operational company.
