A Kft. is not closed simply because it no longer issues invoices. Receivables, liabilities, tax and social-security matters, bank accounts, agreements and company documents may remain relevant.

The actual position is the starting point

Before a company is ended, it should be clear which activity still exists, which receivables and liabilities are outstanding and whether there are further agreements, assets or relationships with other countries. Only on this basis can the appropriate legal and tax route be assessed.

Do not choose the route to closure too quickly

Depending on the circumstances, different procedures may be available for a Hungarian company. Simplified closure is possible only under certain conditions. A dormant business or an account closed prematurely does not replace an orderly assessment.

Tax and social-security matters may remain open

Outstanding returns, evidence or follow-up questions may affect the completion. The responsible independent partner lawyers and partner tax advisers assess the individual case and the relevant obligations.

Compulsory deletion is not an alternative

NAV describes compulsory deletion as court proceedings that can lead to final removal from the company register when lawful operations have not been restored. It does not replace an orderly closure.

Close, reorganise or transfer?

Not every Kft. that is no longer needed in its current form has to be ended immediately. Depending on the starting position, a transfer or reorganisation may be a matter for legal and tax assessment.
